BASIC INFORMATION
COMPANY HISTORY
Sparta Commercial Services, Inc. (SCS) is a result of a corporate reverse acquisition of Sparta Commercial Services, LLC, a Delaware limited liability company, by Tomahawk Industries, Inc., a Nevada corporation which took place on February 27, 2004. We subsequently changed our name to Sparta Commercial Services, Inc. on August 25, 2004.
In July 2005, the Company completed a $3 million private placement of units consisting of 6% Series A convertible, redeemable preferred stock, and three-year common stock warrants. In December 2005, Sparta commenced another $3 million private placement of common stock which closed at $3.4 million in March 2006 with an overallotment of $400,000.
Sparta’s initial operations were dedicated to the development of our proprietary iPLUS® credit decisioning and underwriting software, as well as our entire servicing platform. In March 2006, the Company obtained its initial source of bank financing and we commenced an aggressive roll out of our business model resulting in the signing-up of 800 plus authorized and independent motorcycle dealers in 33 states with another 1,200 dealers expressing interest in our programs. During this ramp-up period, we further commenced a municipal lease program to governmental agencies in all 50 states. And while our initial consumer credit line was terminated in 2008 as a direct result of the financial crisis, the municipal credit facility was not affected and, to date, that department has completed 90 transactions in 15 different states. We continue to actively seek new credit facilities for the consumer market.

In May 2010 our subsidiary, Specialty Reports, Inc. (SRI) acquired all of the assets of Cyclechex LLC, which offered the motorcycle industry equivalent of Carfax®. Upon acquisition, SCS immediately upgraded, revised, and enhanced the process for obtaining vehicle data, and simplified the process for both dealers and consumers to obtain Motorcycle History Reports from Cyclechex. Additionally, SCS expanded the product offering to include not only the VIN verification, but also, accident, crash, and title history information. All of this information is now offered on the Cyclechex website in the form of the copyrighted Cyclechex Motorcycle History Report®. Subsequently, RV Checks History Reports and CarVIN Report were added to the product mix. To date, our sites have had visitors from over 120 countries, with report sales in 25 countries, including domestic purchases in all 50 states. Furthermore, In April 2011, SCS and SRI announced the launch of a new Mobile Application product for vehicle dealers, Specialty Mobile Apps. Our revolutionary application engine allows dealers to log in to our website and build their own custom dealer application. Dealers can upload images, choose colors, customize the items displayed, and create a fully branded experience. Once created, the mobile application is generated, packaged, and made available to the dealer’s customers through the Smartphone App Store. After an initial up-front development fee, further revenue is generated through a monthly maintenance fee that every dealer will pay as long as they are using the App. Since the beginning of product roll-out in June 2011, Specialty Mobile Apps have been sold to over 35 dealerships—with over 40 locations currently paying monthly fees—including dealers representing manufacturers such as Harley-Davidson Motorcycle Company and Lexus.
